Agreement to Terms

Welcome to KeywordKick. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and KeywordKick ("Company," "we," "our," or "us") governing your access to and use of our SEO analytics platform and services (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Service.

1. Eligibility and Account Requirements

1.1 Age Requirement

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you are at least 18 years of age.

1.2 Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

1.3 Account Types

We offer the following account types:

  • Personal Accounts: For individual users managing their own SEO projects
  • Organization Accounts: For teams and businesses with multiple members and shared projects

1.4 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Your account remains inactive for an extended period
  • We are required to do so by law

2. Service Description

2.1 Platform Features

KeywordKick provides SEO analytics tools including, but not limited to:

  • Google Search Console data integration and analysis
  • Keyword cannibalization detection using AI-powered algorithms
  • Search query intent classification
  • Performance metrics and analytics
  • Sitemap management
  • URL inspection tools
  • Actionable SEO recommendations
  • Team collaboration features for organizations

2.2 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may:

  • Perform scheduled maintenance (with advance notice when possible)
  • Experience unscheduled downtime or technical issues
  • Modify, suspend, or discontinue features temporarily or permanently
  • Update or change the Service at our discretion

2.3 Beta Features

We may offer beta, experimental, or early-access features. These features are provided "as-is" without warranties and may be modified or discontinued without notice.

3. Google Search Console Integration

3.1 OAuth Authorization

To use our Google Search Console integration features, you must authorize KeywordKick to access your Google Search Console data via OAuth 2.0. By connecting your account, you grant us permission to:

  • Access your Google Search Console properties
  • Retrieve search analytics data (queries, URLs, impressions, clicks, CTR, positions)
  • Manage sitemaps on your behalf
  • Perform URL inspections
  • Access mobile usability and rich results data

3.2 Data Usage

We use your Google Search Console data exclusively to:

  • Provide SEO analytics and keyword cannibalization detection
  • Generate insights and recommendations
  • Display performance metrics in your dashboard
  • Enable sitemap management and URL inspection features

We comply with Google's API Services User Data Policy, including Limited Use requirements. We do not use your Google data for advertising, tracking, or any purposes unrelated to our core SEO analytics functionality.

3.3 Disconnection

You may disconnect your Google Search Console integration at any time through your project settings. Upon disconnection:

  • Our access to your Google data is immediately revoked
  • Your GSC data stored in our system will be deleted within 30 days
  • Features requiring GSC integration will no longer be available for that project

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer various subscription plans with different feature limits and pricing. Current plans and pricing are available on our pricing page.

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are in U.S. Dollars unless otherwise specified
  • Payment is due immediately upon subscription
  • We use third-party payment processors (Stripe, Lemonsqueezy, etc.)
  • All sales are final; we do not offer refunds except as required by law

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You retain access to paid features until the end of your current billing period
  • No refunds are provided for partial billing periods
  • Your account will revert to the free tier (if available) or be suspended

4.5 Price Changes

We reserve the right to change our pricing at any time. Price changes will:

  • Be communicated to you at least 30 days in advance
  • Take effect at your next renewal date
  • Allow you to cancel your subscription if you disagree with the new pricing

4.6 Taxes

You are responsible for all applicable taxes, duties, and government-imposed fees. If we are required to collect taxes, they will be added to your invoice.

4.7 Failed Payments

If payment fails:

  • We will attempt to process payment multiple times
  • You will receive email notifications
  • Your access to paid features may be suspended
  • Your account may be downgraded or terminated if payment issues persist

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service professionally and ethically.

5.2 Prohibited Activities

You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload or transmit viruses, malware, or malicious code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without our written permission
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or modify any proprietary notices or labels
  • Use the Service to spam, harass, or abuse others
  • Share your account credentials with unauthorized users
  • Resell or redistribute the Service without authorization
  • Use the Service to compete with us or develop competing products
  • Access or use the Service in a way that could damage our reputation
  • Violate Google's Terms of Service or API policies

5.3 Content Standards

Any content you submit through the Service (project names, notes, etc.) must:

  • Be accurate and not misleading
  • Comply with all applicable laws
  • Not infringe on third-party intellectual property rights
  • Not contain harmful, offensive, or inappropriate material

5.4 Enforcement

We reserve the right to investigate violations and take appropriate action, including:

  • Warning users
  • Suspending or terminating accounts
  • Removing content
  • Reporting to law enforcement
  • Taking legal action

6. Intellectual Property Rights

6.1 Our Property

The Service, including all content, features, functionality, software, code, designs, graphics, and trademarks, is owned by KeywordKick and is protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

6.3 Your Content

You retain all rights to data you upload or create using the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your User Content to provide the Service
  • Use aggregated, anonymized data for analytics and service improvement
  • Create backups and copies necessary for service operation

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.

6.5 Third-Party Content

The Service may display content from third parties (Google Search Console data, API results, etc.). We do not claim ownership of third-party content.

7. Data Privacy and Security

We implement reasonable security measures to protect your data. However, we cannot guarantee absolute security. You acknowledge that:

  • You use the Service at your own risk

7.3 Data Backups

We perform regular backups but are not responsible for data loss. You should maintain your own backups of critical information.

Your use of third-party services is subject to their respective terms of service. We are not responsible for third-party services or their availability.

9. Disclaimers and Warranties

9.1 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement

9.3 Accuracy of Data

  • Data from Google Search Console is accurate or complete
  • AI-powered analysis is error-free
  • Recommendations will achieve desired results
  • Metrics and calculations are perfectly precise

9.4 Results Not Guaranteed

We do not guarantee that using the Service will:

  • Improve your search engine rankings
  • Increase website traffic
  • Generate revenue or business results
  • Solve all SEO issues

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYWORDKICK'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid us in the 12 months preceding the claim, or
  • $100 USD

10.2 Excluded Damages

IN NO EVENT SHALL KEYWORDKICK BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Errors or inaccuracies in content or analysis
  • Third-party actions or content
  • Unauthorized access to or use of our servers or your data

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

10.3 User Responsibility

You acknowledge that:

  • You are solely responsible for your use of the Service
  • You assume all risks associated with using SEO tools and implementing recommendations
  • You should verify information and test changes before implementing them on production websites

11. Indemnification

You agree to indemnify, defend, and hold harmless KeywordKick, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your User Content
  • Your negligence or willful misconduct

12. Dispute Resolution

  • May not account for all factors affecting your specific situation
  • Are not guaranteed to produce specific outcomes

15.2 Conflict Detection

Our keyword cannibalization detection algorithm identifies patterns that may indicate SEO conflicts. However:

  • Not all detected conflicts require action
  • Some conflicts may be false positives
  • The algorithm may not detect all potential issues
  • Professional SEO expertise is recommended for implementation

15.3 Data Import Limits

We may impose limits on:

  • Number of projects per account
  • Volume of Google Search Console data imported
  • API request rates
  • Storage capacity
  • Team member count (for organization accounts)

Limits vary by subscription tier and may change with advance notice.

15.4 Export Features

You may export your data in various formats. Exported data remains subject to these Terms and our Privacy Policy.

16. Compliance with Laws

16.1 Export Controls

You agree to comply with all applicable export control laws and not to export or re-export the Service to prohibited countries or persons.

16.2 Data Protection

You are responsible for complying with data protection laws applicable to your use of the Service, including obtaining necessary consents for processing personal data.

If you operate in a regulated industry, you are responsible for ensuring your use of the Service complies with industry-specific regulations.
